# Terms and Conditions

Welcome to the website of the Egyptian American Chamber of Commerce (“EACHAM,” “the Chamber,” “we,” “us,” or “our”). These Terms and Conditions govern your access to and use of egyptianamericanchamber.org, including its content, membership programs, events, directories, educational programs, business services, document services, and other resources offered by the Chamber.

By accessing the website, submitting an application, registering for an event, purchasing a service, or using any Chamber resource, you agree to these Terms and Conditions. If you do not agree, please do not use the website or its services.

## 1. About the Chamber

EACHAM is a membership-based organization that supports economic, commercial, educational, cultural, and community relations between Egypt and the United States.

The Chamber provides networking opportunities, business information, education, referrals, community programs, trade support, events, and other services. Unless expressly stated otherwise, EACHAM is not a government agency, embassy, consulate, law firm, accounting firm, financial institution, customs authority, immigration service, or investment adviser.

Membership in EACHAM does not constitute membership in, affiliation with, or endorsement by any government agency or diplomatic institution.

## 2. Eligibility and Use of the Website

You must be at least 18 years old to enter into transactions through the website. Individuals under 18 may participate in eligible student or youth programs only with any consent required from a parent or legal guardian.

You agree to provide accurate, complete, and current information when submitting applications, registrations, payments, listings, or service requests.

You may not use the website or Chamber services:

* For unlawful, fraudulent, deceptive, or abusive purposes

* To impersonate another person, business, or organization

* To submit false, altered, misleading, or unauthorized documents

* To infringe intellectual property, privacy, or other legal rights

* To distribute spam, malware, harmful code, or unauthorized promotions

* To harass, threaten, bully, discriminate against, or defame others

* To promote hate speech, violence, or illegal activity

* To interfere with the website’s security, availability, or operation

* To collect member information for unauthorized solicitation or resale

* To misrepresent a relationship with or endorsement by the Chamber

## 3. Membership

Membership is subject to application, payment, eligibility requirements, and approval by the Chamber. EACHAM reserves the right to approve, decline, suspend, or terminate membership when reasonably necessary to protect the organization, its members, or the public.

Membership benefits depend on the selected membership category and may include event discounts, directory listings, referrals, promotional opportunities, committee participation, educational programs, and member-to-member benefits.

Membership does not guarantee:

* Business referrals, contracts, sales, financing, or investment

* Admission to every event or program

* Government approval, licensing, immigration status, or regulatory acceptance

* Exclusive representation

* Specific advertising results or online engagement

* Employment, internships, partnerships, or procurement awards

The Chamber may revise membership categories, fees, benefits, eligibility requirements, and program availability. Material changes will be communicated when reasonably practical.

Membership benefits are personal to the approved individual or organization and may not be transferred unless the Chamber authorizes the transfer in writing.

## 4. Membership Directory and Business Listings

Members may be invited to submit business names, descriptions, logos, contact details, website links, photographs, and other information for publication.

By submitting this material, you confirm that:

* The information is accurate and current

* You have the right to submit and publish it

* Its publication does not violate another party’s rights

* It does not contain unlawful, misleading, defamatory, or inappropriate material

You grant EACHAM a nonexclusive, royalty-free license to display, format, reproduce, and promote the submitted material for Chamber-related purposes during your membership or until the listing is removed.

The Chamber may edit listings for formatting, clarity, length, or consistency. It may reject or remove content that violates these Terms or does not meet its publication standards.

Directory inclusion is not an endorsement, certification, warranty, or guarantee of a member’s qualifications, services, products, conduct, licensing, financial condition, or legal compliance.

Members are responsible for keeping their information current.

## 5. Events and Programs

Event registrations are subject to availability, eligibility requirements, posted fees, deadlines, and any event-specific rules.

The Chamber may change an event’s date, time, location, format, speakers, agenda, or capacity. It may postpone or cancel an event because of low enrollment, safety concerns, severe weather, venue limitations, speaker availability, circumstances beyond its control, or other reasonable operational considerations.

Unless otherwise stated in the event description:

* Registration fees are nontransferable without prior approval

* Refund requests must be submitted in writing before the published deadline

* Processing fees may be nonrefundable

* Failure to attend does not automatically qualify for a refund

* If the Chamber cancels a paid event, it may provide a refund, credit, or transfer to another program

Attendees must behave professionally and respectfully. The Chamber may remove an attendee whose conduct is disruptive, unsafe, discriminatory, threatening, or inconsistent with the purpose of the event. Removal for misconduct may occur without a refund.

## 6. Photography and Event Recordings

Chamber events may be photographed, recorded, or livestreamed. Images and recordings may be used for news, education, reporting, archival, and promotional purposes.

By attending an event, you acknowledge that you may appear in event photographs or recordings. If you do not wish to be photographed, please notify the Chamber before the event and make reasonable efforts to avoid designated recording areas.

Separate written consent may be requested for interviews, testimonials, or prominently featured promotional content.

## 7. Educational and Business Information

Information provided through the website, workshops, webinars, articles, newsletters, referrals, and consultations is intended for general educational and informational purposes.

The Chamber does not guarantee that information is complete, current, or appropriate for a particular transaction or situation. Laws, regulations, fees, market conditions, and government procedures may change without notice.

Nothing provided by the Chamber constitutes legal, tax, accounting, immigration, customs, financial, investment, employment, or regulatory advice. You should consult an appropriately licensed professional before making decisions based on Chamber information.

## 8. Business Establishment and Market-Entry Assistance

The Chamber may provide general guidance, referrals, introductions, market information, and educational resources to:

* Egyptian businesses seeking to establish or expand operations in the United States

* American businesses seeking to establish or expand operations in Egypt

* Entrepreneurs, investors, exporters, importers, and professionals seeking bilateral opportunities

The Chamber does not guarantee business registration, licensing, financing, visas, regulatory approval, market access, commercial success, or the performance of any referred professional or service provider.

The user remains responsible for conducting due diligence and obtaining independent professional advice.

## 9. Referrals, Introductions, and Business Opportunities

The Chamber may introduce members to businesses, professionals, government agencies, nonprofit organizations, financial institutions, service providers, buyers, suppliers, investors, or other contacts.

Unless expressly stated in writing, an introduction, referral, directory listing, sponsorship, or event participation does not constitute an endorsement or guarantee.

The Chamber is not responsible for agreements, communications, payments, services, products, representations, disputes, or losses arising between members or between users and third parties.

Users are responsible for evaluating credentials, licenses, insurance, experience, financial condition, and suitability before entering into a business relationship.

## 10. Electronic Document and E-mail Authentication Services

The Chamber may offer electronic document certification, commercial-document review, electronic stamping, digital verification, e-mail authentication, Certificates of Origin, Certificates of Free Sale, legalization coordination, or related services directly or through qualified third-party providers.

The exact scope of each service will be described at the time of application.

Unless expressly stated otherwise, the Chamber’s certification confirms only that a document was submitted, reviewed, signed, stamped, recorded, or processed under the applicable procedure. It does not independently guarantee:

* The truth or accuracy of every statement in the document

* The authenticity or legal authority of the underlying transaction

* Ownership, product quality, regulatory compliance, or commercial value

* Acceptance by customs authorities, banks, courts, embassies, consulates, or government agencies

* That an e-mail’s content is truthful or legally binding

* That the sender had authority beyond the identity or technical information verified

Applicants are responsible for the accuracy, legality, completeness, and authenticity of all submitted information and documents.

The Chamber may request supporting records, identification, declarations, signatures, notarization, or additional verification. It may reject, delay, suspend, or revoke a certification when information is incomplete, inconsistent, suspicious, altered, misleading, or potentially unlawful.

Submission of a false or fraudulent document may result in denial of service, termination of membership, notification to an appropriate authority, or other lawful action.

Electronic signatures, time stamps, digital seals, verification codes, and audit records may be provided through third-party technology platforms. Their use may also be governed by the provider’s terms and privacy practices.

## 11. Payments, Fees, and Renewals

Fees for memberships, events, sponsorships, advertising, certifications, and other services will be displayed or communicated before payment.

You authorize the Chamber and its payment processor to charge the payment method you provide for the selected transaction.

You are responsible for:

* Providing accurate billing information

* Paying applicable fees and taxes

* Reviewing the service description before payment

* Keeping payment information current for any authorized recurring charge

Membership renewals are not automatic unless automatic renewal is clearly disclosed and authorized. If automatic renewal is offered, cancellation instructions will be provided.

The Chamber may correct pricing errors and cancel or refund a transaction affected by an obvious error.

## 12. Refunds and Cancellations

Refund eligibility may differ by membership, event, sponsorship, advertising package, document service, or other purchase.

Unless a separate written policy states otherwise:

* Membership dues are nonrefundable after membership approval

* Donations are nonrefundable except in cases of processing error

* Sponsorship and advertising fees are nonrefundable after benefits or production work begin

* Document-service fees are nonrefundable after review or processing begins

* Third-party, government, embassy, courier, notarization, legalization, and processing fees may be nonrefundable

* Event refunds are governed by the policy published for that event

Approved refunds will be returned through the original payment method when reasonably possible.

## 13. Sponsorships and Advertising

Sponsorship or advertising does not give a sponsor control over the Chamber’s governance, policies, editorial decisions, speakers, or programs unless expressly stated in a written agreement.

The Chamber may decline or remove advertising that is unlawful, misleading, discriminatory, inappropriate, inconsistent with the Chamber’s mission, or likely to harm its reputation.

Advertisers and sponsors are responsible for the accuracy and legality of their claims. They must have permission to use all submitted trademarks, images, and other materials.

## 14. Chamber Name, Logo, and Membership Status

The EACHAM name, logo, seals, certificates, badges, designs, and other brand elements belong to the Chamber or its licensors.

Members may identify themselves as current members and use an approved membership badge in accordance with the Chamber’s branding guidelines.

Members may not:

* Claim that the Chamber endorses or guarantees their business

* Alter the Chamber’s logo, seal, certificate, or badge

* Use Chamber branding after membership expires or is terminated

* Place a Chamber mark on a product or document without authorization

* Create a misleading impression of partnership, accreditation, certification, or official authority

The Chamber may withdraw permission to use its name or marks at any time when necessary to prevent confusion, misuse, or reputational harm.

## 15. Intellectual Property

Unless otherwise identified, the website’s original text, graphics, logos, photographs, videos, program materials, publications, layouts, and other content are owned by or licensed to EACHAM and are protected by applicable intellectual-property laws.

You may view, download, or print reasonable portions for personal, educational, or internal business use. You may not reproduce, modify, publish, sell, license, distribute, scrape, or commercially exploit Chamber content without prior written permission.

Brief quotations may be used for lawful commentary, education, or reporting when properly attributed and otherwise permitted by law.

Third-party names, logos, photographs, and content remain the property of their respective owners.

## 16. User Submissions and Communications

When you submit comments, applications, reviews, testimonials, photographs, event materials, or other content, you remain responsible for that content.

You may not submit confidential information belonging to another person or organization without authorization.

The Chamber may monitor, review, edit, decline, or remove submissions, but it is not required to monitor all user content.

Questions, suggestions, and general feedback may be used to improve Chamber programs. Confidential business proposals should be clearly identified and submitted only through an appropriate authorized channel.

## 17. E-mail and Electronic Communications

By providing your e-mail address, you consent to receive administrative communications related to memberships, transactions, registrations, programs, document requests, and Chamber operations.

Marketing communications will be sent in accordance with applicable law. You may unsubscribe from promotional e-mails using the link provided in the message. Unsubscribing from promotional messages may not stop essential administrative or transactional communications.

E-mail is not always secure. Do not send passwords, payment card information, government identification numbers, or highly sensitive documents via ordinary e-mail unless the Chamber provides an approved secure method.

## 18. Privacy and Cookies

The Chamber’s collection and use of personal information are governed by its Privacy Policy.

The website may use cookies and similar technologies for website operation, preferences, security, analytics, and other disclosed purposes. Available choices concerning nonessential cookies will be described in the Cookie or Privacy Policy.

These Terms and Conditions do not replace the Privacy Policy.

## 19. Third-Party Websites and Services

The website may contain links to third-party websites, platforms, payment processors, event systems, government resources, social media services, certification providers, or member businesses.

The Chamber does not control these third parties and is not responsible for their availability, security, accuracy, content, products, services, or privacy practices.

Accessing a third-party service is at your discretion and may be subject to separate terms and policies.

## 20. Website Availability and Security

The Chamber works to maintain a useful and secure website but does not guarantee uninterrupted, error-free, or completely secure access.

The website may be unavailable due to maintenance, technical issues, cyber incidents, provider outages, emergencies, or other circumstances beyond the Chamber’s reasonable control.

The Chamber may change, suspend, restrict, or discontinue any part of the website or service when reasonably necessary.

## 21. Disclaimer of Warranties

To the fullest extent permitted by law, the website, its content, and Chamber services are provided “as is” and “as available.”

The Chamber disclaims warranties that are not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, accuracy, availability, and noninfringement.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

## 22. Limitation of Liability

To the fullest extent permitted by law, EACHAM and its directors, officers, employees, committee members, volunteers, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from:

* Use of or inability to use the website or a Chamber service

* Reliance on educational, business, trade, or referral information

* Transactions or disputes involving members or third parties

* Event cancellation, interruption, or schedule changes

* Unauthorized access, data loss, transmission failure, or website downtime

* Rejection or delayed acceptance of a document by a third party

* Business losses, lost profits, lost opportunities, or reputational harm

Where liability cannot legally be excluded, the Chamber’s total liability relating to a paid service will not exceed the amount paid directly to the Chamber for the specific service giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be limited or excluded.

## 23. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless EACHAM and its directors, officers, employees, committee members, volunteers, agents, and service providers from claims, damages, liabilities, costs, and reasonable legal fees arising from:

* Your violation of these Terms

* Your unlawful or improper use of the website or Chamber services

* Information, documents, or content you submit

* Your infringement of another party’s rights

* Your business activities or transactions with another member or third party

This section does not apply to the extent a claim results from the Chamber’s own conduct for which indemnification cannot lawfully be required.

## 24. Suspension and Termination

The Chamber may suspend or terminate website access, membership, directory listings, event participation, or services if a user:

* Violates these Terms or an applicable policy

* Fails to pay required fees

* Submits false, fraudulent, or misleading information

* Misuses the Chamber’s name, logo, or certification

* Engages in unlawful, abusive, discriminatory, or harmful conduct

* Creates a material risk to the Chamber, its members, or the public

When reasonably appropriate, the Chamber may provide notice and an opportunity to respond. Immediate action may be taken when necessary to address fraud, security concerns, unlawful conduct, safety, or serious reputational harm.

## 25. Changes to These Terms

The Chamber may revise these Terms to reflect changes in its services, technology, operations, or legal obligations.

The updated version will be posted on the website with a revised effective date. Material changes may also be communicated by e-mail or another reasonable method.

Continued use of the website or Chamber services after the effective date of revised Terms constitutes acceptance of the updated Terms.

## 26. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

Any dispute that cannot be resolved informally will be handled by a court with appropriate jurisdiction in North Carolina, unless the parties agree in writing to another lawful dispute-resolution process.

## 27. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be limited or removed only to the extent necessary. The remaining provisions will continue in effect.

## 28. No Waiver

A failure by the Chamber to enforce a provision does not waive its right to enforce that provision later.

## 29. Entire Agreement

These Terms, together with the Privacy Policy and any specific written terms applicable to a membership, event, sponsorship, certification, or service, constitute the agreement governing your use of the website and Chamber services.

If service-specific terms conflict with these general Terms, the service-specific terms will govern that particular service.
